From the line of cases beginning with Ramsay, it has been established that if a transaction or a series of transactions contains a step which has no commercial purpose apart from the avoidance or mitigation of tax, and at the time the step was taken the whole process was pre-ordained so as to produce a given result, the courts have power to ignore the inserted step and treat the series of transactions as one composite transaction for tax purposes.
