‘Earn-outs’ gained prominence in the 1980s. On company (and indeed ‘business asset’) sales, they were a means of satisfying the requirements or expectations of both sides to a transaction – ‘ bridging the gap’ between the sellers’ own perceived value of the business and the buyer’s desire not to ‘overpay’.
