PAYE applies

In the case of shares, PAYE will or should normally apply to any of the following situations:

the shares are quoted on any investment or Stock Exchange;

there is another market for the shares such as the Alternative Investment Market (AIM);

there is an imminent listing on such an Exchange or market;

the imminent sale of the company whose shares have been acquired;

arrangements for the repurchase of the shares by the company;
