While there is no specific obligation to do so, it is a good policy for a company to consider how an employee will settle his or her taxation liabilities on the receipt of shares. If the shares are readily convertible into cash, tax and NIC will be deducted under PAYE and, potentially, the employee may have an obligation to fund the excess liability that cannot be deducted from his or her salary.
