In England and Wales (unlike Scotland), a partnership is not a legal entity. Therefore, a partnership cannot enter into a contract of employment with an equity partner and an equity partner cannot be the employee of the remaining partners. If, therefore, an equity partner is, under the terms of the partnership agreement, entitled to a salary or wage, he is merely entitled to an allocation of profits prior to the general division among the partners.
